Job Description: Contract Lawyer (Sri Lanka)

Position Overview

We are seeking a highly skilled and experienced Contract Lawyer to join our legal team in Sri Lanka. As a Contract Lawyer, you will be responsible for providing legal advice, drafting, reviewing, and negotiating a wide range of contracts and agreements. You will play a crucial role in ensuring compliance with legal requirements, minimizing risks, and protecting the organization’s interests.

Responsibilities

  • Contract Drafting and Review:
  • Prepare, review, and revise various types of contracts, including but not limited to, sales agreements, service contracts, lease agreements, employment contracts, and vendor agreements.
  • Ensure that contracts comply with applicable laws, regulations, and company policies.
  • Identify potential legal risks and propose appropriate solutions or amendments to mitigate those risks.
  • Collaborate with internal stakeholders to understand their needs and provide legal guidance on contract terms and conditions.
  • Contract Negotiation:
  • Engage in negotiations with external parties, such as clients, vendors, and suppliers, to ensure favorable terms and protect the organization’s interests.
  • Advise on potential modifications or revisions to contracts during negotiations to achieve a mutually beneficial outcome.
  • Maintain effective communication with external parties to address any concerns, clarify contract terms, and facilitate the contract approval process.
  • Legal Compliance:
  • Stay updated on relevant laws, regulations, and industry practices to ensure the organization’s compliance with legal requirements.
  • Conduct legal research and analysis on specific legal issues related to contracts and provide recommendations to the legal team and management.
  • Assist in the development and implementation of policies and procedures related to contract management.
  • Contract Administration:
  • Maintain a centralized contract repository and ensure proper documentation, storage, and organization of contracts and related legal documents.
  • Monitor contract deadlines, renewal dates, and termination provisions to ensure compliance and mitigate any potential risks.
  • Collaborate with cross-functional teams, including finance, procurement, and operations, to ensure contractual obligations are met.
  • Dispute Resolution:
  • Provide legal advice and support in contract-related disputes, including settlement negotiations and alternative dispute resolution mechanisms.
  • Collaborate with external legal counsel, as necessary, to handle litigation or arbitration processes.

Qualifications And Requirements

  • Bachelor’s degree in Law from a recognized university. A Master’s degree in Law or specialization in contract law is preferred.
  • Admission to the Sri Lanka Bar Association and valid legal practicing certificate.
  • Minimum of 3 years of experience as a practicing lawyer, with a focus on contract law and commercial transactions.
  • Strong knowledge of Sri Lankan contract law, commercial law, and relevant legislation.
  • Proven experience in contract drafting, review, and negotiation.
  • Excellent analytical, research, and problem-solving skills.
  • Strong attention to detail and the ability to manage multiple tasks and deadlines.
  • Effective communication and negotiation skills, with the ability to build relationships and work collaboratively with internal and external stakeholders.
  • Proficiency in legal research tools and technology.
  • Fluency in English, both written and spoken, is required. Knowledge of Sinhala and Tamil would be an advantage.
